OVERVIEW

This Universal Terms of Service Agreement (this “Agreement”) is entered into by and between MondoTracking Solutions LLC (“MondoTracking Solutions LLC”) and you, and is made effective as of the date of your use of this website (“Site”) or the date of electronic acceptance. This Agreement sets forth the general terms and conditions of your use of the Site and the products and services purchased or accessed through this Site (individually and collectively, the “Services”), and is in addition to (not in lieu of) any specific terms and conditions that apply to the particular Services.

Whether you are simply browsing or using this Site or purchase Services, your use of this Site and your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with the following policies and the applicable product agreements. The terms “we”, “us” or “our” shall refer to MondoTracking Solutions LLC. The terms “you”, “your”, “User” or “customer” shall refer to any individual or entity who accepts this Agreement, has access to your account or uses the Services. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

MondoTracking Solutions LLC may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site or the Services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised. If you do not agree to be bound by this Agreement as last revised, do not use (or continue to use) this Site or the Services. In addition, MondoTracking Solutions LLC may occasionally notify you of changes or modifications to this Agreement by email. It is therefore very important that you keep your account (“Account”) information current. MondoTracking Solutions LLC assumes no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address.

2. USER CONDUCT AND GENERAL RULES OF CONDUCT

You expressly acknowledge and agree that you will not use this Web site for any purpose that is unlawful or prohibited by these Terms. You agree to abide by all applicable local, state, national, and international laws and regulations and are solely responsible for all acts or omissions that occur under your user name, including but not limited to the content of any communications that are made using services provided through this Web site. Any unauthorized commercial use of this Web site, MondoTracking Solutions LLC servers, or Internet infrastructure, is expressly prohibited. Without MondoTracking Solutions LLC’s prior written consent, you may not reproduce, distribute, modify, display derivative works based on, repost, or otherwise use the content of this Web site. MondoTracking Solutions LLC reserves the right to monitor, review, retain, and disclose any information collected from or about you related to your use of the Web site that is necessary to satisfy any applicable law, regulation, legal process, or legitimate governmental request.

Additionally, you acknowledge and agree that:

1. You will not collect or harvest (or permit anyone else to collect or harvest) any User Content or any non-public or personally identifiable information about another User or any other person or entity without their express prior written consent.
2. You will not use this Site or the Services in a manner that: is illegal, or promotes or encourages illegal activity; promotes, encourages or engages in child pornography or the exploitation of children; promotes, encourages or engages in terrorism, violence against people, animals, or property; promotes, encourages or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking; infringes on the intellectual property rights of another User or any other person or entity; violates the privacy or publicity rights of another User or any other person or entity; interferes with the operation of this Site or the Services; or contains false or deceptive language, or unsubstantiated or comparative claims, regarding MondoTracking Solutions LLC or its Services.
3. You will not copy or distribute in any medium any part of this Site or the Services, except where expressly authorized by MondoTracking Solutions LLC.
4. You will not modify or alter any part of this Site or the Services found at this Site or any of its related technologies.
5. You will not access MondoTracking Solutions LLC Content or User Content through any technology or means other than through this Site itself, or as MondoTracking Solutions LLC may designate.
6. MondoTracking Solutions LLC does not warrant that it backs up any Account or User Content, and you agree to accept as a risk the loss of any and all of your User Content.
7. You will not re-sell or provide the Services for a commercial purpose, including any of MondoTracking Solutions LLC’s related technologies, without MondoTracking Solutions LLC’s express prior written consent.
8. You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.
9. You are aware that MondoTracking Solutions LLC may from time-to-time call you about your account, and you hereby consent to allow MondoTracking Solutions LLC, in its sole discretion, to record the entirety of such calls. You further acknowledge and agree that, to the extent permitted by applicable law, any such recording(s) may be submitted as evidence in any legal proceeding in which MondoTracking Solutions LLC is a party. MondoTracking Solutions LLC reserves the right to modify, change, or discontinue any aspect of this Site or the Services, including without limitation prices and fees, at any time.

3. ELIGIBILITY; AUTHORITY

This Site and the Services are available only to Users who can form legally binding contracts under applicable law. By using this Site or the Services, you represent and warrant that you are (i) at least eighteen (18) years of age, (ii) otherwise recognized as being able to form legally binding contracts under applicable law, and (iii) are not a person barred from purchasing or receiving the Services found under the laws of the United States or other applicable jurisdiction.

If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in this Agreement. If, after your electronic acceptance of this Agreement, MondoTracking Solutions LLC finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in this Agreement, including, but not limited to, the payment obligations. You further agree to be bound by the terms of this Agreement for transactions entered into by you, anyone acting as your agent and anyone who uses your account or the Services, whether or not authorized by you.

4. ACCOUNTS, REGISTRATION AND PASSWORDS; TRANSFER OF DATA ABROAD

Accounts. In order to access some of the features of this Site or use some of the Services, you will have to create an Account. You represent and warrant to MondoTracking Solutions LLC that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete. You are responsible for maintaining the confidentiality of your user name and password, and you are responsible for all activities that occur under your user name and password, whether or not authorized by you.

Transfer of Data Abroad. If you are visiting this Site from a country other than the country in which our servers are located, your communications with us may result in the transfer of information (including your Account information) across international boundaries. By visiting this Site and communicating electronically with us, you consent to such transfers.

5. DISCLAIMER OF REPRESENTATIONS AND WARRANTIES

You specifically acknowledge and agree that your use of this site and the services found at this site shall be at your own risk and that this site and the services found at this site are provided “as is”, “as available” and “with all faults”. MondoTracking Solutions LLC, its officers, directors, employees, agents, and all third party service providers disclaim all warranties, statutory, express or implied, including, but not limited to, any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.

MondoTracking Solutions LLC, its officers, directors, employees, and agents make no representations or warranties about (i) the accuracy, completeness, or content of this site, (ii) the accuracy, completeness, or content of any sites linked to this site, and/or (iii) the services found at this site or any sites linked to this site, and MondoTracking Solutions LLC assumes no liability or responsibility for the same.

In addition, you specifically acknowledge and agree that no oral or written information or advice provided by MondoTracking Solutions LLC, its officers, directors, employees, or agents (including without limitation its call center or customer service representatives), and third party service providers will (i) constitute legal or financial advice or (ii) create a warranty of any kind with respect to this site or the services found at this site, and users should not rely on any such information or advice.

The foregoing disclaimer of representations and warranties shall apply to the fullest extent permitted by law, and shall survive any termination or expiration of this agreement or your use of this site or the services found at this site.

6. DISCLAIMERS / LIMITATION OF LIABILITY

You use this Web site at your own risk. Neither MondoTracking Solutions LLC nor any other party involved in creating, producing, or delivering this Web site is liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your access to, or use of, this Web site. The material contained on this Web site may contain inaccuracies and errors. MondoTracking Solutions LLC does not guarantee that the functional aspects of the Web site will be uninterrupted or error-free or that this Web site or the server that provides it are free of viruses or other harmful components.

In no event shall MondoTracking Solutions LLC, its officers, directors, employees, agents, and all third party service providers, be liable to you or any other person or entity for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any that may result from (i) the accuracy, completeness, or content of this site, (ii) the accuracy, completeness, or content of any sites linked to this site, (iii) the services found at this site, (iv) personal injury or property damage of any nature whatsoever, (v) third-party conduct of any nature whatsoever, (vi) any unauthorized access to or use of our servers and/or any personal information, financial information or other data stored therein, (vii) any interruption or cessation of services to or from this site, (viii) any viruses, worms, bugs, trojan horses, or the like, which may be transmitted to or from this site, or (ix) any loss or damage of any kind incurred as a result of your use of this site or the services found at this site, whether based on warranty, contract, tort, or any other legal or equitable theory.

You specifically acknowledge and agree that any cause of action arising out of or related to this site or the services found at this site must be commenced within one (1) year after the cause of action accrues, otherwise such cause of action shall be permanently barred.

In no event shall MondoTracking Solutions LLC’s total aggregate liability exceed the total amount paid by you for the particular services that are the subject of the cause of action. The foregoing limitation of liability shall apply to the fullest extent permitted by law, and shall survive any termination or expiration of this agreement.

7. AVAILABILITY OF WEBSITE / SERVICE

Subject to the terms and conditions of this Agreement, we shall use commercially reasonable efforts to provide this Site and the Services on a twenty-four (24) hours a day, seven (7) days a week basis. You acknowledge and agree that from time to time this Site may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements; or causes beyond our reasonable control including interruption or failure of telecommunication or digital transmission links, hostile network attacks, or network congestion. We assume no liability to you or any other party with regard to availability of the Site or Service.

8. YOUR USE OF MONDO TRACKING SOLUTION CONTENT AND USER CONTENT

Except for User Content, the content on this Site and the Services, including without limitation the text, software, scripts, source code, API, graphics, photos, sounds, music, videos and interactive features and the trademarks, service marks and logos contained therein (“MondoTracking Solutions LLC Content”), are owned by or licensed to MondoTracking Solutions LLC in perpetuity, and are subject to copyright, trademark, and/or patent protection in the United States and foreign countries. MondoTracking Solutions LLC Content is provided to you “as is” for your information and personal, non-commercial use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purposes whatsoever without the express prior written consent of MondoTracking Solutions LLC.

Security. You agree not to circumvent, disable or otherwise interfere with the security-related features of this Site or the Services (including without limitation those features that prevent or restrict use or copying of any MondoTracking Solutions LLC Content or User Content).

9. MONDO TRACKING SOLUTION USE OF USER CONTENT

You shall be solely responsible for any and all of your User Content or User Content that is submitted through your Account, and the consequences of, and requirements for, distributing it.

With Respect to User Submissions. You acknowledge and agree that:

• Your User Submissions are entirely voluntary.
• Your User Submissions do not establish a confidential relationship or obligate MondoTracking Solutions LLC to treat your User Submissions as confidential or secret.
• MondoTracking Solutions LLC has no obligation, either express or implied, to develop or use your User Submissions, and no compensation is due to you or to anyone else for any intentional or unintentional use of your User Submissions.
• MondoTracking Solutions LLC shall own exclusive rights (including all intellectual property and other proprietary rights) to any User Submissions posted to this Site, and shall be entitled to the unrestricted use and dissemination of any User Submissions posted to this Site for any purpose, commercial or otherwise, without acknowledgment or compensation to you or to anyone else.

10. MONITORING OF CONTENT; ACCOUNT TERMINATION POLICY

MondoTracking Solutions LLC generally does not pre-screen User Content. However, MondoTracking Solutions LLC reserves the right (but undertakes no duty) to do so and decide whether any item of User Content is appropriate and/or complies with this Agreement. MondoTracking Solutions LLC may remove any item of User Content and/or terminate a User’s access to this Site or the Services for posting or publishing any material in violation of this Agreement, at any time and without prior notice. If MondoTracking Solutions LLC terminates your access to this Site or the Services, MondoTracking Solutions LLC may, in its sole and absolute discretion, remove and destroy any data and files stored by you on its servers.

11. ADDITIONAL RESERVATION OF RIGHTS

MondoTracking Solutions LLC expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to (or control of) any Account or Services for any reason, including but not limited to the following: (i) to correct mistakes made by MondoTracking Solutions LLC in offering or delivering any Services, (ii) to protect the integrity and stability of the services, (iii) to assist with fraud and abuse detection and prevention efforts, (iv) to comply with court orders against you, (v) to comply with requests of law enforcement, including subpoena requests, (vi) to comply with any dispute resolution process, (vii) to defend any legal action or threatened legal action, or (viii) to avoid any civil or criminal liability on the part of MondoTracking Solutions LLC, its officers, directors, employees and agents.

MondoTracking Solutions LLC expressly reserves the right to review every Account for excessive space and bandwidth utilization, and to terminate or apply additional fees to those Accounts that exceed allowed levels. MondoTracking Solutions LLC also reserves the right to terminate, without notice, any and all Services where you are harassing or threatening MondoTracking Solutions LLC and/or any of its employees.

12. LINKS TO THIRD-PARTY WEBSITES

This Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by MondoTracking Solutions LLC. MondoTracking Solutions LLC assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites. By using this Site or the Services, you expressly release MondoTracking Solutions LLC from any and all liability arising from your use of any third-party website. Your dealings with third parties accessed through this Web site, including payment and delivery of goods or services offered by such third parties, are solely between you and such third parties.

13. INDEMNITY

You agree to protect, defend, indemnify, and hold harmless MondoTracking Solutions LLC and its members, officers, directors, employees, agents, contractors, licensors, successors, and third party service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, costs, expenses, losses, liabilities, and damages of every kind and nature, including without limitation reasonable attorneys’ fees, expert fees, and court costs, imposed upon or incurred by any of the Indemnified Parties directly or indirectly arising from or related to: (i) your use of or access to this Site or any of the Services; (ii) your violation of any provision of this Agreement or any policies or agreements incorporated herein; (iii) your violation of any applicable local, state, national, or international law or regulation; (iv) your violation of any third-party right, including without limitation any intellectual property right, privacy right, or proprietary right; (v) any content, data, or information you submit, post, transmit, or otherwise make available through the Site or Services; (vi) your negligence or willful misconduct; or (vii) any dispute between you and any third party. MondoTracking Solutions LLC reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with MondoTracking Solutions LLC in asserting any available defenses. You agree not to settle any such matter without the prior written consent of MondoTracking Solutions LLC. This indemnification obligation shall survive any termination or expiration of this Agreement or your use of this Site or the Services, and shall apply regardless of whether MondoTracking Solutions LLC was advised of the possibility of such claims or damages.

14. FEES AND PAYMENTS

A. GENERAL TERMS, INCLUDING AUTOMATIC RENEWAL TERMS

You agree to pay any and all prices and fees due for Services purchased or obtained at this Site at the time you order the Services. All prices and fees are non-refundable unless otherwise expressly noted in the Refund Policy section below, even if your Services are suspended, terminated, or transferred prior to the end of the Services term. MondoTracking Solutions LLC expressly reserves the right to change or modify its prices and fees at any time, and such changes or modifications shall be posted online at this Site and effective immediately without need for further notice to you.

You may pay for Services by utilizing any of the following Payment Methods: (i) by providing a valid credit card, (ii) via an electronic check from your personal or business checking account, (iii) by using PayPal, (iv) by using an International Payment Option, or (v) via in-store credit balances, if applicable. Your Payment Method on file must be kept valid if you have any active Services in your Account.

If you are being billed on a monthly basis, your invoice will be issued on the 1st day of each month, regardless of the date the Services were originally purchased. Payment is due upon receipt of the invoice.

Most services offer an automatic payment option. If you are enrolled in automatic payment, MondoTracking Solutions LLC will automatically charge your payment method on file on the 1st day of each month at MondoTracking Solutions LLC’s then current rates. You are responsible for ensuring your payment method remains current and valid to avoid any interruption of Services.

If for any reason MondoTracking Solutions LLC is unable to charge your Payment Method for the full amount owed, or if MondoTracking Solutions LLC receives notification of a chargeback, reversal, or payment dispute, you agree that MondoTracking Solutions LLC may pursue all available lawful remedies in order to obtain payment, including but not limited to, immediate cancellation, without notice to you, of any Services registered or renewed on your behalf. Transaction processing is supported only in U.S. dollars.

B. PAY BY PAYPAL

By using MondoTracking Solutions LLC’s PayPal payment option, you agree to allow PayPal to debit the full amount of your purchase from your PayPal account or from credit card(s), bank account(s), or other allowed payment method(s) linked to your PayPal Account. If the transaction is returned unpaid, you will pay a service charge of $25.00 or the maximum amount allowed by law.

15. REFUND POLICY

All purchases of Services, equipment, and subscriptions from MondoTracking Solutions LLC are final and non-refundable. All Services are provided “as is” and all sales are considered final at the time of purchase. MondoTracking Solutions LLC does not offer refunds, credits, or pro-rated reimbursements for any reason, including but not limited to cancellation, early termination, non-use, or dissatisfaction with the Services. By purchasing any Service, you acknowledge and agree to this no-refund policy. In the event that MondoTracking Solutions LLC, at its sole and absolute discretion, determines that a refund or credit is warranted, any such refund or credit shall be issued exclusively in the form of an in-store credit, and shall not be considered a precedent or obligation for future cases.

 

16. BRAND GUIDELINES, PERMISSIONS AND COPYRIGHT

MONDO TRACKING SOLUTION’s trademarks, service marks, logos, trade dress, web design, and other brand features (“Brand Characteristics”) are protected by applicable trademark, copyright and other intellectual property laws. Your misuse of the trademarks displayed on this Web site is strictly prohibited. Nothing contained on this Web site should be construed as granting any license or right to use any trademark displayed on the Web site without the written permission of MONDO TRACKING SOLUTION.

If you believe that your work has been copied and is accessible through this Web site in a way that constitutes copyright infringement, you may notify us by providing the following information: the electronic or physical signature of the copyright owner or authorized representative; a description of the copyrighted work and the infringing activity; a description of the location of the infringing material; your name, address, telephone number, and email address; and a statement by you, made under penalty of perjury, that the above information is accurate and that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

17. PRIVACY POLICY

MONDO TRACKING SOLUTION is committed to protecting the privacy of its Customers and website visitors. The collection, use, and protection of Personal Information, Location Information, video footage, and device data across all of MONDO TRACKING SOLUTION’s services — including GPS Tracking, Electronic Logging Devices (ELD), Dashcam/Camera Systems, and Data & Tablet Services — are governed by MONDO TRACKING SOLUTION’s Privacy Policy, available at https://www.mondotracking.com/privacy-policies/.

By using this Site or the Services, you acknowledge that you have read, understood, and agree to the terms of the Privacy Policy, which is incorporated into this Agreement by reference. For questions or requests related to your personal data, please contact [email protected].

18. THIRD PARTY DEVICE INSTALLATION SERVICES

MONDO TRACKING SOLUTION does not itself offer installation services for location devices into vehicles and must rely on third parties to do this. You understand that vehicle electrical modifications entail risk and that MONDO TRACKING SOLUTION may suggest qualified contractors to perform such work, but ultimately it is you who assumes the risk of any modifications required to adapt a location device to a given vehicle. You agree that MONDO TRACKING SOLUTION is free of any liability that could result from incorrect vehicle operation after or before installing a location device.

MONDO TRACKING SOLUTION will not take responsibility for any damages or losses resulting from vehicle manipulation in order to install or put into operation any GPS, camera, ELD, or other tracking devices.

19. DATA COMMUNICATIONS

MONDO TRACKING SOLUTION shall have no liability for a failure to provide or for delay in providing Services due directly or indirectly to causes beyond the control of MONDO TRACKING SOLUTION or its subcontractors, including, without limitation, acts of God, or governmental entities, dismantling of the GPS network, termination of Services due to actions of a third party telecommunication provider, acts of the Customer, strikes, unusually severe weather conditions, interruptions of transportation or inability to obtain necessary labor, materials or facilities, default of any supplier, or delays in Federal Communications Commission (“FCC”) frequency authorization or license grant. If MONDO TRACKING SOLUTION is unable to wholly or partially perform the Services for more than 30 days because of any cause beyond its control, MONDO TRACKING SOLUTION may terminate the Agreement without any liability to Customer, other than to refund any amounts paid for Services which have not been provided.

In the event that the Customer’s use of Services results in excessive communications usage, MONDO TRACKING SOLUTION shall be at liberty to suspend Services in relation to the relevant vehicle, for a reasonable amount of time, on notice to the Customer, until MONDO TRACKING SOLUTION is able to assess the cause and implement a solution. You will be liable for any fraudulent or improper use of your SIM Card or Account. SIM Cards remain the property of MONDO TRACKING SOLUTION at all times. Where a SIM card is lost, damaged, defective or stolen, you agree to inform us as soon as possible.

20. EMAIL AND SMS NOTIFICATIONS

The MONDO TRACKING SOLUTION platform allows you to create event notifications via email and SMS. These notifications may contain location information about your devices. You agree to accept all responsibility for ensuring that the correct and proper contact information is configured on the MONDO TRACKING SOLUTION platform. MONDO TRACKING SOLUTION is free from any and all liability or responsibility if information or data is, for whatever reason, corrupted or does not reach its intended recipient.

21. SUCCESSORS AND ASSIGNS

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors and assigns.

22. NO THIRD-PARTY BENEFICIARIES

Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

23. ADDITIONAL TERMS

Certain products or services offered by this Web site, and certain areas within this Web site may be governed by additional terms of use or other agreements presented in conjunction with those products or services (“Additional Terms”). You must agree to these Additional Terms before using those products, services, and areas. In the event of an irreconcilable inconsistency between the Additional Terms and these Terms of Use, the Additional Terms shall control.

24. U.S. EXPORT LAWS

This Site and the Services found at this Site are subject to the export laws, restrictions, regulations and administrative acts of the United States Department of Commerce, Department of Treasury Office of Foreign Assets Control (“OFAC”), State Department, and other United States authorities (collectively, “U.S. Export Laws”). Users shall not use the Services to collect, store or transmit any technical information or data that is controlled under U.S. Export Laws. By using this Site and the Services, you represent and warrant that you are not a national or resident of, located in, or under the control of, any restricted country; and you are not on any denied parties list; and you agree to comply with all U.S. Export Laws.

25. COMPLIANCE WITH LOCAL LAWS

MONDO TRACKING SOLUTION makes no representation or warranty that the content available on this Site or the Services found at this Site are appropriate in every country or jurisdiction, and access to this Site or the Services from countries or jurisdictions where its content is illegal is prohibited. Users who choose to access this Site or the Services are responsible for compliance with all local laws, rules and regulations.

26. GOVERNING LAW; JURISDICTION; VENUE

These Terms constitute the entire agreement between you and MONDO TRACKING SOLUTION with respect to this Web site, superseding any prior agreements between you and MONDO TRACKING SOLUTION. These Terms are governed by the laws of the State of Florida and the United States of America, without regard to conflict of laws principles.
